Terms of Service

These Terms of Service (“Terms”) govern access to and use of the website, software, AI inbound representative, voice agent, integrations, workflows, dashboards, reports, documentation, and related services provided by Kassie AI, Inc. (“Kassie,” “we,” “us,” or “our”).

Customer,” “you,” or “your” means the company, organization, or other legal entity that signs an Order Form, accesses the Services, or uses the Services. If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

By signing an Order Form, accessing the Services, using the Services, or allowing Kassie to be deployed on your website, you agree to these Terms.

  1. Definitions

Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

AI Output” means responses, messages, summaries, recommendations, classifications, transcripts, scores, meeting notes, or other content generated by or through the Services.

Customer Data” means any data, content, information, materials, instructions, documents, website content, knowledge sources, CRM data, calendar data, configuration data, qualification rules, website visitor information, audio, transcripts, summaries, metadata, and other information submitted to, connected to, processed by, or generated through the Services on Customer’s behalf.

Documentation” means Kassie’s then-current usage instructions, support materials, configuration guides, product documentation, or written guidance made available by Kassie.

End User” means a person who interacts with Kassie through Customer’s website, landing page, application, or other Customer-controlled digital property.

Order Form” means an ordering document, quote, online order, or similar document that references these Terms and is accepted by Customer and Kassie.

Services” means Kassie’s AI inbound representative platform and related software, features, integrations, support, onboarding, workflows, and services described in an applicable Order Form.

Sales-Ready Meeting” means a meeting booked through the Services with a person who, based on qualification rules agreed by Customer and Kassie, appears to have a relevant business reason to speak with Customer’s sales team and provides business contact information.

2. Order Forms and Online Terms

Customer may purchase Services by signing or accepting an Order Form. Each Order Form will describe the applicable subscription, fees, payment terms, subscription term, deployment scope, included usage, and other commercial terms.

These Terms are incorporated into each Order Form by reference. If there is a conflict between these Terms and an Order Form, the Order Form will control only for that Order Form and only to the extent of the conflict.

Any purchase order, vendor portal terms, procurement terms, or other Customer-provided terms will have no force or effect unless expressly agreed in writing by Kassie, even if Kassie accepts payment, provides Services, or references a purchase order number.

  1. The Services

Kassie provides an AI inbound representative for B2B companies. The Services may allow Customer to deploy an AI-powered voice or chat experience on approved website pages or flows, configure product knowledge, qualification rules, calendar routing, CRM workflows, alerts, conversation summaries, and sales handoff workflows.

The Services are designed to help Customer engage website visitors, qualify potential buyers, and book Sales-Ready Meetings for Customer’s sales team.

Kassie is not a substitute for Customer’s sales team, legal review, compliance review, security review, business judgment, or human decision-making. Customer remains responsible for deciding whether a lead, meeting, prospect, opportunity, or account is qualified, accepted, pursued, or closed.

  1. Launch, Beta, and Early-Stage Functionality

Customer acknowledges that some Services may include launch-version, early-access, beta, pilot, experimental, or preview functionality.

Such functionality may contain bugs, errors, interruptions, latency issues, hallucinations, inaccurate responses, incomplete responses, unexpected behavior, integration issues, or other imperfections.

Kassie may modify, improve, suspend, discontinue, replace, or update features, workflows, integrations, vendors, models, or technical architecture from time to time, provided that Kassie does not materially reduce the core functionality purchased under an active Order Form without reasonable cause.

  1. Access and Use Rights

Subject to Customer’s compliance with these Terms and payment of all fees, Kassie grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Services solely for Customer’s internal business purposes and in accordance with the applicable Order Form and Documentation.

Customer may allow its employees, contractors, agents, and authorized representatives to use the Services on Customer’s behalf, provided Customer is responsible for their acts, omissions, and compliance with these Terms.

6. Customer Responsibilities

Customer is responsible for:

  1. Providing accurate product information, approved knowledge, website content, qualification criteria, calendar availability, routing rules, CRM information, and instructions.

  2. Reviewing and approving any knowledge sources, prompts, scripts, workflows, claims, qualification rules, or responses used by Kassie.

  3. Ensuring Customer has all rights, permissions, and legal bases necessary to provide Customer Data to Kassie and to allow Kassie to process Customer Data.

  4. Determining where and how the Services are deployed on Customer’s website, landing pages, applications, or other digital properties.

  5. Providing all legally required notices and obtaining all legally required consents from End Users, including notices and consents related to AI interaction, recording, transcription, monitoring, analytics, cookies, marketing, and personal data processing.

  6. Ensuring Customer’s use of the Services complies with applicable laws, privacy obligations, marketing rules, consumer protection rules, recording consent laws, website disclosure obligations, industry rules, and internal policies.

  7. Monitoring conversations, AI Outputs, meetings, handoffs, and performance of the Services.

  8. Maintaining appropriate human review, sales follow-up, customer support, and oversight.

  9. Keeping Customer’s account credentials, connected systems, and equipment secure.

  10. Promptly notifying Kassie of any unauthorized access, security incident, misuse, or suspected misuse involving the Services.

Customer may not submit, collect, or process through the Services any sensitive personal information, regulated health information, payment card information, financial account information, government identifiers, biometric identifiers, children’s data, precise geolocation, or other highly sensitive data unless expressly approved in writing by Kassie.

Acceptable Use Restrictions

Customer will not, and will not permit any third party to:

  1. Use the Services for unlawful, deceptive, fraudulent, abusive, harmful, or misleading purposes.

  2. Use the Services to collect sensitive personal information without proper legal basis and Kassie’s prior written approval.

  3. Use the Services in healthcare, financial services, insurance, legal, government, education admissions, employment, housing, credit, or other regulated decision-making contexts unless expressly approved in writing by Kassie.

  4. Use the Services to make automated decisions with legal or similarly significant effects on individuals.

  5. Reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Services.

  6. Attempt to discover source code, underlying models, prompts, architecture, workflows, algorithms, trade secrets, or non-public technical information.

  7. Access or use the Services to build, train, benchmark, evaluate, or improve a competing product or service.

  8. Scrape, crawl, overload, interfere with, or disrupt the Services.

  9. Bypass security controls, rate limits, usage limits, authentication, authorization, or access controls.

  10. Upload malicious code, unlawful content, infringing content, misleading content, or content that violates third-party rights.

  11. Use the Services in a way that damages or may damage Kassie’s systems, reputation, deliverability, security, customers, vendors, or business.

  12. Use the Services for spam, phishing, harassment, impersonation, or unauthorized marketing.

  13. Remove, obscure, or alter proprietary notices.

  14. Resell, sublicense, timeshare, or provide the Services for the benefit of a third party except as expressly authorized in an Order Form.

AI Outputs and Human Review

Customer acknowledges that AI systems are probabilistic and may generate inaccurate, incomplete, inappropriate, unexpected, misleading, delayed, or hallucinated AI Outputs.

Customer is responsible for reviewing, validating, and supervising AI Outputs before relying on them. Kassie does not guarantee that AI Outputs will be accurate, complete, error-free, compliant with law, suitable for Customer’s business, or sufficient to create a qualified lead, sales opportunity, pipeline, revenue, or any other business result.

Customer should not rely on AI Outputs as legal, financial, medical, compliance, employment, tax, accounting, or other professional advice.

Meetings, Leads, and Business Outcomes

The Services may help Customer engage visitors, qualify prospects, and book meetings. Unless expressly stated in an Order Form, Kassie does not guarantee any specific number of meetings, leads, opportunities, pipeline, revenue, conversion rates, show rates, close rates, or business outcomes.

If an Order Form includes an included or target number of Sales-Ready Meetings, that number is an included usage allowance or target outcome, not a guarantee of closed business, sales-accepted opportunities, revenue, or pipeline.

Customer’s sales team remains solely responsible for deciding whether any meeting becomes a sales-accepted opportunity, qualified opportunity, pipeline, customer, or revenue.

10. Customer Data

As between Customer and Kassie, Customer owns Customer Data.

Customer grants Kassie a limited, worldwide, non-exclusive right to process Customer Data as necessary to:

  1. Provide, operate, maintain, secure, support, and improve the Services.

  2. Configure and deploy Customer’s AI inbound representative.

  3. Generate AI Outputs, transcripts, summaries, qualification details, meeting details, and sales handoffs.

  4. Connect with Customer-approved integrations.

  5. Monitor performance, reliability, security, usage, abuse, and quality.

  6. Troubleshoot errors and provide support.

  7. Comply with applicable law and enforce these Terms.

Kassie will not sell Customer Data. Kassie will not use Customer Data to train third-party foundation models unless Customer expressly authorizes such use in writing.

11. Aggregated and De-Identified Data

Kassie may collect, create, and use aggregated, anonymized, or de-identified data derived from Customer Data or use of the Services for lawful business purposes, including analytics, benchmarking, product improvement, model evaluation, quality assurance, security, usage measurement, performance monitoring, and service development.

Kassie will not attempt to re-identify aggregated or de-identified data, and such data will not identify Customer, End Users, or any individual.

12. Customer Content and Knowledge Sources

Customer is responsible for all product information, website content, documents, FAQs, pricing information, claims, qualification criteria, disqualification rules, routing instructions, and other materials provided to Kassie.

Customer represents and warrants that it has all rights necessary to provide such materials to Kassie and that such materials do not violate law, third-party rights, or Customer’s obligations to any third party.

Kassie may rely on Customer-provided materials to generate AI Outputs. Customer is responsible for keeping those materials accurate, current, complete, and approved.

  1. Integrations and Third-Party Services

The Services may integrate with third-party services, including CRM systems, calendar tools, email tools, cloud providers, AI model providers, voice providers, analytics tools, observability tools, communication platforms, and other tools.

Customer’s use of third-party services is governed by the applicable third party’s terms and privacy policies. Kassie is not responsible for third-party services, outages, changes, errors, data practices, security incidents, or failures outside Kassie’s reasonable control.

Customer authorizes Kassie to access, process, transmit, and store data from Customer-approved third-party integrations as necessary to provide the Services.

Kassie may change third-party providers from time to time, provided that Kassie continues to provide the core Services under the applicable Order Form.

14. Usage Controls

Kassie may implement reasonable technical, operational, and usage controls, including rate limits, usage thresholds, session limits, throttling, conversation limits, voice-minute limits, AI-token limits, abuse detection, spam controls, and similar safeguards.

These controls may be used to prevent abuse, manage excessive consumption, protect system availability, control AI infrastructure costs, preserve security, maintain service integrity, and protect Kassie, Customer, End Users, and third parties.

Kassie’s implementation of reasonable usage controls will not constitute downtime, breach, or failure to provide the Services.

If Customer exceeds usage limits in an Order Form, Kassie may charge additional fees, require an upgraded plan, or limit usage until the parties agree on additional fees.

15. Security

Kassie will implement reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, loss, misuse, alteration, or disclosure.

Customer acknowledges that no system is completely secure and that Kassie does not guarantee absolute security.

Unless expressly stated in an Order Form, Kassie does not represent or warrant that it currently holds SOC 2, ISO 27001, ISO 42001, or other formal security certifications.

Kassie may provide a security overview, subprocessor list, data flow description, data retention description, or other security materials upon request.

16. Privacy and Data Protection

Kassie’s Privacy Policy describes how Kassie collects and processes personal information. The Privacy Policy is incorporated into these Terms by reference.

Where Kassie processes personal data on behalf of Customer as a processor, service provider, or similar role under applicable privacy laws, the parties may enter into a Data Processing Addendum (“DPA”). If required by applicable law, the DPA will govern Kassie’s processing of personal data on Customer’s behalf.

Customer is responsible for its own privacy policy, cookie notices, AI disclosures, recording notices, consent mechanisms, and other disclosures required for Customer’s deployment of the Services.

  1. Confidentiality

Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential, including business, technical, financial, product, customer, pricing, security, roadmap, and operational information.

Customer Data is Customer’s Confidential Information. Non-public information about the Services, pricing, product roadmap, security, architecture, models, prompts, workflows, performance, and technology is Kassie’s Confidential Information.

The receiving party will use Confidential Information only to perform under these Terms and will protect it using at least reasonable care. The receiving party will not disclose Confidential Information except to employees, contractors, advisors, service providers, legal counsel, accountants, investors, auditors, or representatives who need to know it and are bound by confidentiality obligations.

Confidential Information does not include information that is publicly available without breach, already known without restriction, independently developed without use of the disclosing party’s Confidential Information, or lawfully received from a third party without confidentiality obligations.

A receiving party may disclose Confidential Information if required by law, provided it gives the disclosing party prompt notice, where legally permitted, and reasonably cooperates to limit disclosure.

18. Fees and Payment

Customer will pay all fees stated in the applicable Order Form.

Unless an Order Form states otherwise:

  1. Fees are due upfront.

  2. Payment is due upon receipt of invoice.

  3. Fees are non-cancelable and non-refundable.

  4. Kassie may require payment before onboarding, configuration, implementation, or deployment begins.

  5. Customer is responsible for applicable taxes, excluding taxes based on Kassie’s net income.

  6. Late payments may result in suspension or termination of Services.

  7. Customer will reimburse reasonable collection costs for overdue amounts.

Kassie may accept payment by ACH, wire, credit card, or other approved payment methods. If Customer pays by credit card or other method that creates processing fees, Kassie may pass through such fees where permitted by law.

If Customer believes an invoice is incorrect, Customer must notify Kassie in writing within 30 days after the invoice date. If Customer does not notify Kassie within that period, the invoice will be deemed accepted.

19. Taxes

Fees do not include taxes, duties, levies, or governmental assessments. Customer is responsible for all applicable sales, use, VAT, GST, withholding, or similar taxes associated with its purchases, except taxes based on Kassie’s net income.

If Customer is required by law to withhold taxes, Customer will gross up payments so that Kassie receives the full amount invoiced, unless prohibited by law.

  1. Term and Termination

These Terms remain in effect while Customer uses the Services or has an active Order Form.

Each Order Form remains in effect for the term stated in the Order Form. Unless otherwise stated in an Order Form, subscriptions are annual and paid upfront.

Either party may terminate an Order Form if the other party materially breaches these Terms and fails to cure the breach within 30 days after written notice.

Kassie may suspend or terminate access immediately if Customer:

  1. Fails to pay fees when due.

  2. Violates the Acceptable Use Restrictions.

  3. Creates security, legal, operational, reputational, or financial risk.

  4. Uses the Services in a way that may harm Kassie, Customer, End Users, third parties, or the Services.

  5. Causes or may cause excessive usage, abuse, spam, or system instability.

If Kassie terminates an Order Form for Customer’s breach or nonpayment, all unpaid fees for the remainder of the applicable subscription term will become immediately due and payable.

Upon termination, Customer’s right to use the Services ends. Sections that by their nature should survive will survive, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnity, data provisions, and dispute resolution.

  1. Data Export and Deletion

Upon written request after termination, Kassie will make commercially reasonable efforts to provide Customer with an export of available Customer Data in a reasonable format, unless prohibited by law, security requirements, backup limitations, or third-party restrictions.

Kassie may delete Customer Data after termination in accordance with its data retention practices, unless legally required or permitted to retain it.

Data may persist in backups for a limited period, but will remain protected in accordance with these Terms until deleted.

22. Ownership

Kassie owns all rights, title, and interest in and to the Services, software, technology, models, workflows, designs, interfaces, templates, prompts, analytics, know-how, documentation, improvements, enhancements, modifications, and related intellectual property, excluding Customer Data.

Customer owns Customer Data.

No rights are granted except as expressly stated in these Terms.

23. Feedback

If Customer provides ideas, suggestions, requests, recommendations, improvements, or other feedback about the Services (“Feedback”), Customer grants Kassie a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit Feedback without restriction or compensation.

24. Marketing and Publicity

Unless Customer objects in writing, Kassie may identify Customer as a customer using Customer’s name and logo in customer lists, investor materials, pitch materials, sales materials, and marketing materials.

Any press release, case study, testimonial, public quote, or detailed public reference will require Customer’s prior approval.

Customer agrees to reasonably consider participating in a case study, reference call, or testimonial if Customer has achieved meaningful results from the Services, but Customer is not required to approve any public statement it does not agree with.

25. Warranties and Disclaimers

Each party represents and warrants that it has authority to enter into these Terms.

Kassie will use commercially reasonable efforts to provide the Services in a professional manner.

Except as expressly stated in these Terms, the Services are provided “as is” and “as available.” Kassie disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, error-free operation, security, availability, and any warranties arising from course of dealing or usage of trade.

Kassie does not warrant that the Services will generate any particular number of meetings, leads, opportunities, pipeline, revenue, conversion rates, show rates, close rates, or other business outcomes.

Kassie does not warrant that AI Outputs will be accurate, complete, current, compliant, appropriate, or free from hallucinations.

26. Customer Indemnification

Customer will defend, indemnify, and hold harmless Kassie and its officers, directors, employees, contractors, agents, investors, affiliates, vendors, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  1. Customer Data.

  2. Customer’s website, products, services, claims, marketing, or business practices.

  3. Customer’s use of the Services in violation of these Terms or applicable law.

  4. Customer’s failure to provide required notices or obtain required consents.

  5. Customer’s violation of privacy, recording, marketing, consumer protection, or data protection laws.

  6. Customer’s use of AI Outputs.

  7. Customer’s instructions, configuration, qualification rules, knowledge sources, or deployment decisions.

  8. Allegations that Customer-provided materials infringe, misappropriate, or violate third-party rights.

27. Kassie Indemnification

Kassie will defend Customer against third-party claims alleging that the Services, as provided by Kassie and used in accordance with these Terms and the applicable Order Form, infringe a U.S. patent, copyright, or trademark, and will pay damages finally awarded or agreed in settlement, provided that Customer promptly notifies Kassie, gives Kassie sole control of the defense and settlement, and reasonably cooperates.

Kassie will have no obligation for claims arising from:

  1. Customer Data.

  2. Customer-provided materials, instructions, configurations, or specifications.

  3. Customer’s modification of the Services.

  4. Combination of the Services with products, services, data, or processes not provided by Kassie.

  5. Unauthorized use of the Services.

  6. Use after Kassie provides a non-infringing alternative.

  7. AI Outputs.

  8. Open-source software or third-party services not controlled by Kassie.

If the Services are or may be subject to an infringement claim, Kassie may, at its option:

  1. Modify the Services to be non-infringing.

  2. Obtain the right for Customer to continue using the Services.

  3. Replace the Services with substantially similar functionality.

  4. Terminate the affected Services and refund prepaid, unused fees for the affected portion of the subscription term.

  1. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profits damages, or for loss of revenue, goodwill, data, business opportunity, anticipated savings, or business interruption, even if advised of the possibility.

To the maximum extent permitted by law, each party’s total liability arising out of or relating to these Terms, an Order Form, or the Services will not exceed the amounts paid or payable by Customer to Kassie under the applicable Order Form during the 12 months before the event giving rise to liability.

The limitations above do not apply to Customer’s payment obligations, Customer’s misuse of the Services, either party’s confidentiality obligations, or indemnification obligations.

29. Export, Sanctions, and Anti-Corruption

Customer may not use the Services in violation of U.S. export control, sanctions, anti-corruption, or anti-money laundering laws.

Customer represents that it is not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions and is not on any restricted party list.

30. Force Majeure

Neither party will be liable for delay or failure to perform obligations, other than payment obligations, caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, cloud provider outages, AI provider outages, voice provider outages, cyberattacks, government actions, power failures, or other third-party service failures.

31. Assignment

Customer may not assign these Terms or any Order Form without Kassie’s prior written consent, except to a successor in connection with a merger, acquisition, reorganization, or sale of substantially all assets, provided the assignee assumes all obligations.

Kassie may assign these Terms or any Order Form in connection with a merger, acquisition, financing, corporate reorganization, or sale of substantially all assets.

32. Notices

Kassie may provide notices by email, through the Services, or by posting on its website.

33. Governing Law, Venue, and Jury Trial Waiver

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas, or Collin County, Texas, for disputes arising out of or relating to these Terms, any Order Form, or the Services.

Each party waives its right to a jury trial in any dispute arising out of or relating to these Terms, any Order Form, or the Services.

34. Changes to These Terms

Kassie may update these Terms from time to time by posting an updated version on its website.

Unless Kassie states otherwise, administrative, clarifying, or non-material updates are effective upon posting.

Updates that materially reduce Customer’s rights or materially increase Customer’s obligations will become effective upon the earliest of:

  1. Customer’s execution or acceptance of a new Order Form.

  2. Customer’s renewal term.

  3. Customer’s electronic acceptance.

  4. Customer’s continued use of the Services after Kassie provides notice of the update.

Kassie may make updates effective immediately if reasonably necessary to address security, abuse, AI safety, legal, regulatory, third-party platform, service-integrity, operational, or similar concerns.

The version of these Terms available as of the effective date of an Order Form applies to that Order Form, except as modified in accordance with this section.

  1. Miscellaneous

These Terms, the Privacy Policy, any applicable DPA, and all Order Forms constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements, proposals, or understandings relating to the Services.

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

No waiver is effective unless in writing and signed by the waiving party.

No agency, partnership, joint venture, fiduciary, or employment relationship is created by these Terms.

Neither party may bind the other party without written authorization.
